Please read these terms carefully before engaging design services

These Terms and Conditions govern the design services provided by AC Designs. By requesting a quote or engaging services, you agree to these terms.
1. Scope of Services
AC Designs ("Designer") agrees to provide design services as outlined in the project proposal or quote agreement. Services include but are not limited to: brand identity design, UI/UX design, graphic design, social media content, marketing materials, and presentation design.
The scope of work is defined in the written proposal. Any work outside this scope will be considered additional services and will require a separate proposal and additional compensation.
Designer reserves the right to decline any project that conflicts with personal values or professional standards.
2. Payment Terms
A 50% deposit is required to begin any project. The remaining balance is due upon project completion or delivery of final files.
Invoices are due within 7 business days of issue. Late payments may result in suspension of work on current and future projects.
All prices are in USD. If international payments are required, the client is responsible for all transaction fees and currency conversion costs.
Additional revisions beyond those included in the project scope will be billed at $75/hour.
3. Revision Policy
The number of revision rounds included in each service package is specified in the proposal. Each package typically includes 2-3 rounds of revisions.
Revisions include changes to design direction, layout, colors, copy, and other elements within the original scope.
Additional revisions beyond the included rounds will be charged at $75 per hour.
Major changes that significantly alter the project scope may require a revised proposal and timeline.
4. Intellectual Property Ownership
Upon full payment, all rights to the final design files transfer to the client. The client may use the designs for their intended purpose.
Designer retains the right to use completed work as portfolio pieces and case studies for promotional purposes, unless explicitly stated otherwise in writing.
Client may not resell or redistribute design files to third parties without written permission.
Designer retains ownership of all preliminary concepts, sketches, and unused design work.
5. Timeline & Deadlines
Estimated project timelines are provided in the proposal and are based on timely feedback and approvals from the client.
Designer will make reasonable efforts to meet proposed deadlines. However, delays may occur due to unforeseen circumstances.
Client agrees to provide feedback within 5 business days of each deliverable to avoid project delays.
Extensions beyond the original timeline may result in additional fees.
6. Client Responsibilities
Client agrees to provide all necessary materials, information, and feedback in a timely manner.
Client is responsible for ensuring all provided content (text, images, logos) does not infringe on third-party intellectual property rights.
Client will assign a point of contact for project communication and decision-making.
7. Cancellation & Termination
If a client chooses to cancel a project after work has begun, they forfeit the deposit paid.
If cancellation occurs after 50% of the work is complete, the client owes the full project fee.
Designer may terminate a project if the client is in violation of these terms or fails to provide necessary information.
8. Confidentiality
Designer agrees to maintain confidentiality regarding client business information shared during the project.
Client agrees not to share preliminary design concepts or work-in-progress files with competitors.
Designer may discuss general project methodology and process with other clients and in educational settings.
9. Limitation of Liability
Designer is not liable for any indirect, incidental, or consequential damages resulting from the use of design services.
Total liability is limited to the amount paid for services.
Designer is not responsible for the performance or success of the client's business using the provided designs.
10. Warranty Disclaimer
Design services are provided "as is" without warranties of any kind.
Designer does not guarantee specific business results from the design work.
Client is responsible for testing designs across different platforms and devices before launch.
11. Dispute Resolution
Any disputes will first be addressed through direct communication between the parties.
If disputes cannot be resolved, both parties agree to seek mediation before pursuing legal action.
12. Changes to Terms
Designer reserves the right to modify these terms at any time. Changes will be effective immediately upon posting.
Continued engagement of services constitutes acceptance of updated terms.
